General Conditions of Sale
All orders placed with Smart Diagnostic Devices (hereafter Seller) are subject to these conditions:
All delivery commitments are made in good faith, but are not guaranteed. Seller is not liable for failure to make a shipment on a particular date, or for failure of any shipping company to perform as expected.
The payment terms are offered at Seller’s discretion, and may be modified at any time for any reason. Any clerical errors in quotations or entry of orders are subject to correction.
Any claims for shortage must be made within 30 days of the date of invoice, or are considered waived.
Unless a separate warranty statement is made in the documentation included with the product, the warranty for new products is for a period of one year from date of invoice, and covers parts and labor to make the product functional. It does not include incoming or outgoing freight, or any labor incurred at the site of use. Any parts repaired or replaced are warranted for the remainder of the warranty period, or 30 days from date of invoice, whichever is longer. Fixed-price repair services where parts are not separately billed may use reconditioned parts.
Orders for repairs are warranted not to fail for causes related to the repair performed for a period of 30 days from date of invoice. Any failure for an unrelated cause is not warranted. The warranty covers parts and labor to make the product functional. It does not include incoming or outgoing freight, or any labor incurred at the site of use.
Cancellation of orders for repair or technical services will incur a reasonable charge based on the amount of work performed before the cancellation is received.
No returns will be accepted by the Seller unless return authorization is given in writing. Claims for warranty service must state a verifiable reason for the claim.
Seller will accept returns for unused goods in resalable condition within 30 days of the invoice date. The determination of what items are new and are resalable is made solely by Seller. Returns of uncalibrated items are subject to a 10% restocking charge, and returns of calibrated items are subject to a 25% restocking charge. Cancellation of orders for repair or technical services will incur a reasonable charge based on the amount of work performed before the cancellation is received. Sales of repair or other technical services are final; no returns will be accepted and no credit will be given. Freight charges will not be refunded.
Subscriptions for web-based software begin on the date that payment is received and automatically renew until cancelled. You may end a subscription by e-mailing email@example.com at least 5 business days prior to the next billing date. No refund or pro-rated charges will be made for services already billed.
These conditions are construed under the laws of the state of Minnesota, and Hennepin County, and any disputes shall be venued there.
For orders that are to be shipped outside of the United States and its Territories, the Seller is not responsible for any taxes, customs, duties, certificates, or other documents or costs related to the importation and regulatory compliance for the receiving country. Buyer is responsible for determining these costs, and any regulations involved.
Title to the goods passes to the buyer upon transfer by Seller to a common carrier. Seller is not responsible for any loss or damage for any items shipped on the buyer’s shipping account. All claims for loss or damage will be limited to repair or replacement of Seller’s product or equal or better commercial value as governed by our commercial price list as published from time to time.
Seller retains the right to strictly interpret these conditions, even if in the past we have chosen to interpret them otherwise.
